1. The fact of placing an order or accepting delivery of goods implies complete and unreserved approval of these general conditions of sale, to the exclusion of any contrary document; other conditions will be considered as non-existent unless expressly accepted by Seller in writing.
2. Orders will be firm and binding only after Seller’s written confirmation. Seller is entitled to price adjustments with respect to quantities.
3. Delivery time indicated in Seller’s confirmation is subject to modification by Seller without compensation to the Buyer.
4. Events outside Seller’s control, such as, without limitation, strike, war, lack of raw material or freight at reasonable prices, shall entitle Seller to an adaptation of the quantities to be delivered and/or the delivery time. Seller shall promptly notify Buyer of such events.
5. Goods travel at Buyer’s own and full expenses and risks even in case of transportation ordered by Seller. In case of loss or damages to the goods during transportation, Buyer shall make the necessary reservations to the carrier that will be considered as being his agent.
6. Claims are to be expressed in writing, by email, registered letter or fax, within four working days following receipt of the goods by Buyer, otherwise it will be void. Goods shall be kept protected in their initial packing for Seller’s inspection. No unauthorised return will be accepted.
7. Due to the hand-made process, sizes, colours and textures may reasonably differ from samples without giving right to any compensation to the Buyer.
8. Title to the goods remains Seller’s property until invoiced goods are fully paid.
9. Except otherwise agreed, invoices are payable immediately by bank transfer. In case of nonpayment at maturity, Seller shall be entitled to apply a penalty of 10% and a yearly 12% interest to the balance due (calculated on a day-to-day basis), without any formal notice.
10. Should a dispute arrive, Parties shall make their best efforts to find an amicable solution; in case of persistent conflict, courts of Liege, Belgium, will be solely competent.
